    Terms of Service

    These Terms of Service govern your use of the products and services of WAPI Solutions LLC, wherever in the world you are located, including the Caretta AI assistant, live conversations and mobile apps, domain registration, subscriptions, software licensing, automation, and custom development.

    Worldwide Service
    ICANN Policies

    WAPI provides its services to customers worldwide. These Terms apply wherever you are located; the mandatory consumer protections of your country of residence remain unaffected (Section 41). Domain services are additionally subject to ICANN consensus policies and the agreements of our partner registrars and registries.

    Part I: General Provisions

    01

    Acceptance of Terms

    Agreement to Terms

    These Terms of Service (the "Terms") are a binding agreement between you and WAPI Solutions LLC ("WAPI", "we", "us", or "our"). By creating an account, placing an order, or otherwise accessing or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

    Eligibility

    You must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher, to use the Services. By using the Services you represent and warrant that you meet this requirement.

    Corporate Authority

    If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

    Privacy Policy

    Our Privacy Policy describes how we handle personal data in connection with the Services. It forms part of your agreement with us and should be read together with these Terms.

    Changes

    We may amend these Terms as described in Section 44. Material changes are announced at least 30 days in advance, and each revision carries a version number and date shown at the top of this page.

    Definitions

    "Services"

    All products and services provided by WAPI, including the websites, software, platforms, APIs, AI Services, Automation Services, domain registration, hosting, licensing, and custom development.

    "User" / "You"

    Any individual or entity that accesses or uses the Services, whether or not registered.

    "Account"

    A registered profile that provides access to the Services, together with its credentials, data, balances, and configurations.

    "Content"

    Any data, text, files, images, code, or other materials uploaded, submitted, crawled at your direction, or created through the Services.

    "Subscription"

    A recurring payment arrangement for continued access to specific Services on a monthly or annual basis.

    "AI Services"

    The Caretta assistant and other WAPI features that generate content or answers using machine-learning models, including website chat widgets, messaging integrations, and their dashboards and APIs.

    "AI Output"

    Content generated by the AI Services in response to inputs from you, your End Users, or your Content.

    "End User"

    A person who interacts with your deployment of the Services, such as a visitor to your website or a contact on your connected messaging channels.

    "Visitor Data"

    Personal data of End Users processed through your deployment, including contact details an End User chooses to leave in a conversation and identity attributes your systems pass to us under Section 19.

    "Automation Services"

    Bot services, script execution, API integrations, scheduled tasks, and automated data processing provided by WAPI.

    Account Registration & Security

    Accurate Information

    You must provide accurate, current, and complete information when registering and keep it up to date. We may suspend or terminate accounts registered with false or misleading information.

    Two-Factor Authentication

    We recommend enabling two-factor authentication. We may require it for operations we consider high-risk.

    Responsibility for Credentials

    You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Do not share your password or API keys with third parties.

    Notice of Unauthorized Access

    Notify us promptly at [email protected] if you become aware of unauthorized access to your account. Delayed notice may limit what we can do to help.

    International Use & Compliance

    A Worldwide Service

    The Services are offered to customers worldwide, and we serve individuals and businesses across many jurisdictions, including the European Union, the United Kingdom, Türkiye, India, and the United States. We do not represent that every Service is appropriate or available in every jurisdiction.

    Local Law Responsibility

    You are responsible for ensuring that your use of the Services, and anything you build, publish, or operate with them, complies with the laws of the jurisdictions in which you operate, including local registration, tax, consumer, and data protection requirements that apply to your business.

    Consumer Protections Preserved

    If the law of your country of residence grants you protections that cannot be waived by contract, those protections prevail over any conflicting provision of these Terms. Section 41 explains how this interacts with governing law and dispute resolution.

    Export Controls & Sanctions

    The Services may not be used in violation of applicable export control or sanctions laws. You represent that you are not located in a territory subject to comprehensive embargo and are not named on a restricted-party list, and that you will not provide access to the Services to anyone who is.

    Language

    These Terms are concluded in English. Where we provide translations for convenience, the English version controls in case of discrepancy.

    Part II: Domain Services

    05

    Domain Registration Services

    Registrar Relationship

    WAPI provides domain registration as an authorized reseller of ICANN-accredited registrars; WAPI is not itself an ICANN-accredited registrar. All registrations are subject to ICANN consensus policies, the applicable Registrar Accreditation Agreement, and the rules of the relevant registry. Where the sponsoring registrar requires it, that registrar's registration agreement applies in addition to these Terms.

    First Come, First Served

    Domain names are registered on a first-come, first-served basis. No domain is guaranteed to be available until the registry has confirmed the registration.

    Registration Process

    On successful payment, we submit your registration request to the appropriate registry. Registration is complete only when the registry confirms it. Processing typically takes minutes but may take up to 24 hours.

    TLD-Specific Rules

    Certain top-level domains, including many country-code TLDs, impose eligibility requirements, restrictions, or additional terms. You are responsible for complying with the policies of each TLD you register.

    WHOIS Data Accuracy

    Accuracy Required by ICANN

    Under ICANN's Registration Data Policy you must provide accurate and complete registration data. Knowingly providing false registration data is a breach of ICANN policy and of these Terms and may lead to suspension or cancellation of the domain.

    Updates Within 7 Days

    You must update your registration data within 7 days of any change to your name, organization, postal address, email address, or phone number.

    Consequences of Inaccurate Data

    Failure to maintain accurate registration data may result in suspension or cancellation of the domain without refund, as permitted by ICANN policy.

    WHOIS Privacy Service

    Where the applicable registry permits, we offer a WHOIS privacy service that substitutes proxy data for your personal details in public WHOIS records.

    07

    Domain Transfer Policy

    60-Day Transfer Lock

    Under ICANN policy, a domain is locked against outbound transfer for 60 days following its initial registration or a previous transfer.

    Authorization Code

    To transfer a domain away from WAPI, obtain the EPP authorization code from your account dashboard and provide it to the receiving registrar.

    Transfer Approval

    Outbound transfers are confirmed by email to the registered domain holder. If the holder does not respond within 5 days, the transfer proceeds automatically in accordance with ICANN transfer policy.

    When a Transfer May Be Denied

    We may deny a transfer where the domain is within the 60-day lock period, payment for the domain is outstanding, the domain is subject to a dispute, or denial is required by law or registry policy.

    Domain Renewal & Expiration

    Renewal Reminders

    We send renewal reminders by email 60, 30, 15, 7, and 1 day(s) before expiration. You are responsible for keeping your contact email current and for acting on these notices; a missed reminder does not extend a registration.

    Domain Expiration Timeline

    Expiration Date

    Domain services stop resolving. Any website and email on the domain cease to function.

    Grace Period: 40 Days

    The domain may be renewed at the standard price. Services remain suspended until renewal.

    Redemption Period: 30 Days

    The domain may be restored on payment of a redemption fee, typically between $80 and $150 or more depending on the TLD.

    Pending Delete: 5 Days

    The domain can no longer be recovered and is released by the registry for public registration.

    Domain Disputes (UDRP)

    Uniform Domain-Name Dispute Resolution Policy

    All domain registrations are subject to ICANN's Uniform Domain-Name Dispute Resolution Policy (UDRP), which provides the mechanism for resolving disputes over domain name registrations. Country-code TLDs may operate their own dispute policies, which apply where relevant.

    Complaints

    A third party that believes a domain infringes its trademark rights may file a complaint with an approved dispute resolution provider, such as WIPO or the Forum.

    Binding Decisions

    UDRP panel decisions are binding on the parties. If a panel orders transfer or cancellation of a domain, it will be implemented within 10 business days unless court proceedings are commenced in accordance with the UDRP.

    Possible Outcomes

    A UDRP proceeding may result in transfer of the domain to the complainant, cancellation of the domain, or dismissal of the complaint. The UDRP does not award monetary damages.

    Domain Refund Policy

    Domain Fees Are Non-Refundable

    Domain registrations, renewals, transfers, and redemption fees are non-refundable. Once a request is submitted to the registry, the fee is irrevocably incurred. In particular:

    • Registry fees cannot be recovered once a registration is submitted
    • Typographical errors in a domain name do not give rise to a refund
    • Unused portions of a registration period are not refunded
    • This applies to every TLD, without exception

    Because registration is executed immediately at your request, statutory withdrawal rights for distance contracts do not survive full performance; please check spelling and TLD carefully before completing a domain order.

    Part III: Subscription Services

    Subscriptions & Billing Cycles

    Billing in Advance

    Subscriptions are billed in advance on a recurring monthly or annual basis, according to the plan you select. Your billing date is set by the date of your initial subscription.

    Automatic Renewal

    Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You authorize us to charge the payment method on file for each renewal.

    Price Changes

    We give at least 30 days' notice of any subscription price increase. The new price takes effect at your first renewal after the notice period. If you do not accept the new price, you may cancel before that renewal.

    Upgrades & Downgrades

    Upgrades are prorated for the remainder of the current billing period. Downgrades take effect at the next billing cycle; no refund is issued for the current period.

    Subscription Cancellation

    How to Cancel

    You may cancel a subscription at any time from your account dashboard or by writing to [email protected]. Cancellation takes effect at the end of the current billing period.

    Access Until Period End

    After you cancel, you keep full access to the subscribed services until the end of the period you have already paid for.

    Data Export Window

    You have 7 days after a subscription ends to export your Content. After that window, the related Content and service data are permanently deleted from our active systems, except for records we are required or permitted to retain (such as billing and tax records) as described in our Privacy Policy.

    Cancelling Before Renewal

    To avoid a renewal charge, cancel before the renewal date. A cancellation received after a renewal has been billed takes effect at the end of the new period.

    Subscription Refund Policy

    Within 14 Days, Unused

    If you have not made material use of the subscribed services, you may request a full refund within 14 days of the initial purchase.

    After 14 Days

    No refunds are issued more than 14 days after purchase, regardless of usage.

    After Material Use

    Once you have made material use of the paid features, for example by consuming usage allowances or processing data, the refund right lapses even within the 14-day window.

    Consumers in the EU, EEA & UK

    If you purchase as a consumer in the European Union, the European Economic Area, or the United Kingdom, your statutory 14-day right of withdrawal applies. Where you ask us to begin providing a service during the withdrawal period and then withdraw, you owe only a proportionate amount for what was supplied before withdrawal; where you expressly consent to immediate full performance and acknowledge that the right is thereby lost, it lapses as provided by law. Where a statutory right conflicts with the policy above, the statutory right prevails.

    Part IV: Caretta AI Assistant Services

    The Caretta AI Services

    What the AI Services Are

    Caretta is an AI-powered assistant that can be used through our dashboard, embedded on websites you control by means of a script widget or our WordPress plugin, and connected to supported messaging channels. It builds a knowledge base from Content you provide or authorize us to crawl, such as your website and product data, and generates automated answers for you and your End Users.

    License to Embed

    Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install the Caretta widget or plugin on websites and channels you own or control, for the purpose of using the AI Services. This license ends when your access to the AI Services ends.

    WordPress Plugin

    The Caretta WordPress plugin code is distributed under the GPLv2 (or later) license, as required by WordPress.org. That open-source license covers the plugin code only; the hosted service, APIs, dashboards, models, and AI Output remain governed by these Terms.

    Site Tokens & Credentials

    Each deployment is identified by a site token issued through your dashboard. Tokens are credentials: keep them confidential, use each token only for the site it was issued for, and do not share tokens across accounts. We may rotate or revoke tokens for security reasons.

    Features & Beta Functions

    We may add, modify, or retire individual AI features. Features identified as beta or experimental are provided for evaluation, may change or be withdrawn without notice, and are excluded from any commitments made for the generally available service.

    Your Content & the Knowledge Base

    Your Content & License to Us

    You retain all rights in your Content. You grant WAPI a non-exclusive, worldwide license to host, crawl, index, process, reproduce, and display your Content solely as necessary to provide and support the AI Services for you. You represent that you hold the rights needed to grant this license, including for content on the websites you connect.

    Crawling Your Sites

    Learning runs crawl only the websites you connect and are performed at your direction. If a website cannot be crawled because it blocks automated access, the run stops early, you are notified, and the fee for that crawl is refunded. Crawl frequency and depth may be limited to protect your site and our infrastructure.

    Knowledge Base Control

    Your dashboard lets you review what the assistant has learned, correct or disable individual answers, and trigger re-learning from your sources. Corrections you approve take precedence over crawled content in future answers.

    Keeping Sources Current

    The assistant answers from the knowledge base as it existed at the last learning run. Prices, availability, and other volatile facts on your website may lag until re-learning occurs; you are responsible for keeping source content current and for scheduling or requesting re-learning after significant changes.

    AI Output & Transparency

    Nature of AI Output

    AI Output is generated by machine-learning models and may be inaccurate, incomplete, or out of date despite the quality controls we apply. AI Output is provided for information purposes only and is not legal, medical, financial, or other professional advice. You are responsible for reviewing AI Output before relying on it or publishing it.

    Ownership of AI Output

    As between you and WAPI, and to the extent permitted by law, WAPI assigns to you its rights, if any, in AI Output generated for your account. Because AI Output is generated by statistical models, identical or similar output may be generated for other customers, and no exclusivity in AI Output is granted or implied.

    Disclosure of Automation

    Where the law of a market you serve requires that End Users be informed they are interacting with an AI system, for example under the EU Artificial Intelligence Act, you are responsible for that disclosure in your deployment. You must not configure or instruct the assistant to claim to be a human being.

    Marketing & Sales Features

    Optional marketing and sales features generate promotional language from your Content. You are responsible for ensuring that claims the assistant makes about your own products and prices are accurate and comply with the advertising and consumer laws of the markets you serve. We do not guarantee any commercial outcome, such as increased sales or conversions.

    Prohibited AI Uses

    In addition to Section 34, you may not use the AI Services to deceive or manipulate End Users, to impersonate specific real persons or organizations, to generate unlawful or infringing content, to provide regulated professional advice without qualified human review, or to make automated decisions with legal or similarly significant effects on individuals without human oversight.

    Deployment, End Users & Data Processing

    Deploying on Your Website & Channels

    When you embed the assistant on a website or connect it to a messaging channel such as WhatsApp, you are responsible for complying with the laws that apply to that site and its audience, including publishing your own privacy notice, obtaining any consents required from your End Users, and honoring the terms of the messaging platforms you connect. Platform-imposed suspensions of your channel accounts are outside our control.

    Controller & Processor Roles

    For personal data of your End Users processed through your deployment, you act as the data controller (or equivalent role under your local law) and WAPI acts as your processor and service provider. Voice messages received on connected channels may be automatically transcribed so the assistant can reply. Details of this processing are set out in our Privacy Policy.

    Our Processing Commitments

    When we process End User personal data on your behalf, we: process it only to provide the Services and on your documented instructions reflected in these Terms and your configuration; ensure persons authorized to process it are bound by confidentiality; apply the technical and organizational measures described in our Privacy Policy; engage sub-processors (such as hosting and AI model providers) under obligations consistent with these commitments; assist you, to the extent reasonable, with End User rights requests and with your own compliance obligations; notify you without undue delay of a personal data breach affecting your End User data as required by law; and delete or return that data in accordance with Section 39 and the Privacy Policy.

    Authorized Domains

    Embedded widgets are licensed for the domains you authorize in your dashboard. We may refuse or block requests originating from domains you have not authorized.

    Third-Party Model Providers

    AI Output may be generated using third-party machine-learning infrastructure. Such providers receive the data needed to generate a response under contractual terms that restrict any other use. We do not use your confidential Content to train models made available to other customers without your permission.

    Live Conversations & Mobile Apps

    Real-Time Service

    Conversations run in real time over persistent connections between the End User's browser or messaging channel, our servers, and the dashboards and companion apps you use to monitor and answer them. All real-time traffic is carried over encrypted connections.

    Live Takeover by Your Team

    Where live takeover is enabled, you and the team members you authorize can watch ongoing conversations and take over from the assistant to speak with the End User directly. While a conversation is held by a human agent, the assistant stops answering in that conversation. Messages written by your team are your Content and your responsibility, including their accuracy and legality; the disclosure duty in Section 16 does not prevent your team from identifying themselves as human agents.

    Human Replies Are Not Recycled

    Replies written by your human agents are treated as one-off human communication: they are not reused as automated answers for other End Users and are excluded from the assistant's learning and quality pipelines.

    Companion Apps

    We provide companion applications, including the WordPress plugin and mobile apps for Android and, when released, iOS, so you can follow and answer conversations away from your desk. Mobile apps are distributed through the relevant app stores, whose own terms apply in addition to these Terms. The apps process your account data, device information, and push notification tokens as described in our Privacy Policy; you can control notifications in the app and your device settings.

    Team Access Discipline

    Access to live conversations through the panel or apps is limited to your account and the staff you authorize. You are responsible for managing who on your team has access, for their confidential handling of what they see, and for revoking access when a team member leaves.

    Visitor-Submitted Data & Verified Identity

    What This Section Covers

    Where you enable these features, End Users can voluntarily leave contact details (such as a name, email address, or phone number) in a conversation so you can follow up, and your own systems can pass us a server-signed assertion that an End User is a logged-in member of your site, together with limited profile attributes. All such Visitor Data is collected and processed on your behalf, under the roles and processing commitments in Section 17.

    Contact Details Left by End Users

    Contact details an End User chooses to leave are made available to you in your dashboard and companion apps, in real time where supported. They are provided so that you can respond to that End User's inquiry; any further use, such as marketing follow-up, requires whatever lawful basis and consents the laws of your market demand, and obtaining them is your responsibility.

    Verified Identity Requires Your Signature

    Identity attribution works only with a cryptographic signature generated by your own backend using the identity secret we issue to you. Unsigned or invalid identity claims are never attached: if verification fails, the conversation simply continues anonymously. You must pass us only identity attributes you lawfully hold and are permitted to share with us, and you must keep your identity secret confidential and rotate it if compromised.

    How We Protect Visitor Data

    Where these features are used, contact details and identity attributes are stored encrypted with per-visitor keys. Email addresses and phone numbers are not included in prompts sent to AI models. Conversations attached to a verified identity are excluded from the cross-customer aggregation described in Section 17, and anonymous and identified conversations are kept separate so that one End User can never see another's history.

    Deletion & End User Requests

    You can instruct us to delete an individual End User's Visitor Data, and per-visitor encryption is designed so that deletion is effective across our active systems; retention in backups and records we must keep is governed by our Privacy Policy. End Users who contact us directly about their data will be referred to you as the controller, and we will assist as described in Section 17.

    Data You Must Not Collect

    You may not use the assistant to solicit special categories of personal data (such as health, biometric, or religious information), government identification numbers, passwords or other credentials, or full payment card numbers, and you may not direct these features at children or at audiences for which your market requires protections you have not implemented. We may disable collection features used in breach of this Section.

    AI Usage, Billing & Limits

    Metered Usage

    AI Services are metered. Conversations, learning runs, and related operations consume your usage allowance or account balance at the rates shown in your dashboard at the time of use. Consumed usage is billed as incurred and is non-refundable.

    Balance & Top-Ups

    Where the AI Services are funded from a prepaid account balance, usage is deducted from that balance, and invoices for consumed usage are issued as described in Section 31. If your balance is exhausted, the assistant may stop answering until the balance is topped up.

    Limits & Throttling

    Usage allowances, rate limits, and per-site limits apply as shown in your dashboard, and you can adjust per-site limits within your plan. Usage beyond a limit may be throttled or paused. We may apply protective limits to defend against abuse, automated attacks, or usage patterns that endanger service stability, and where practicable we will notify you.

    Model Evolution

    We may change, upgrade, or substitute the underlying machine-learning models and infrastructure, provided the change does not materially reduce the overall capability of the AI Services you have paid for.

    Availability

    We work to keep the AI Services available at all times but do not promise uninterrupted operation, and no service level agreement applies unless we have signed one with you. Planned maintenance is announced where practicable. If a real-time connection drops, conversations fall back or resume where technically possible, but delivery of any individual message is not guaranteed.

    Part V: Automation Services

    Automation Services

    Automation Services include, without limitation:

    Bot Services

    Automated bots for supported platforms and tasks.

    Script Execution

    Custom scripts and automated workflows.

    API Integrations

    Connections to third-party platform APIs.

    Scheduled Tasks

    Cron jobs and timed automation.

    Data Processing

    Automated data collection and processing.

    Social Automation

    Social media management tools.

    Automation Usage Rules

    Rate Limits

    Automation Services are subject to rate limits that protect fair usage and system stability. Exceeding a rate limit may result in temporary throttling.

    Fair Use

    Automation resources must be used reasonably. Usage that degrades the service for other users may lead to additional charges or restrictions after notice where practicable.

    Prohibited Automation

    Automation Services may not be used for unlawful activity, unsolicited bulk messaging, circumventing security or access controls, breaching third-party terms of service, or any purpose listed in Section 34.

    Third-Party Platforms

    When automation interacts with a third-party platform, you are solely responsible for complying with that platform's terms. WAPI is not responsible for suspensions or bans imposed on your third-party accounts.

    Responsibility for AI & Automation Use

    You Are Responsible for Automated Actions

    You bear sole responsibility for all actions performed through the AI and Automation Services in your account and for the results they produce. In particular, you are responsible for:

    • Configuring the services correctly for your intended use
    • Reviewing the output and results before relying on or publishing them
    • The consequences of automated actions on third-party platforms
    • Ensuring your use complies with the laws that apply to you

    To the maximum extent permitted by applicable law, WAPI disclaims liability for damages, losses, account suspensions, or other consequences arising from your use of the AI or Automation Services, subject to Section 37.

    Part VI: Custom Software Development

    Custom Software Projects

    Project Scope

    Every custom project is defined by a written scope document covering features, deliverables, timeline, and acceptance criteria. Work begins only after both parties have agreed to the scope.

    Milestone Payments

    Custom projects follow the milestone payment schedule set out in the project proposal or contract. Work on a milestone begins after the preceding milestone has been paid.

    Change Requests

    Changes to the agreed scope require a written change request. Work outside the original scope is charged separately and may extend the timeline.

    Timelines

    Delivery estimates are given in good faith and are not guaranteed. Delays caused by late client feedback, scope changes, or events beyond our reasonable control extend the timeline accordingly.

    Intellectual Property in Custom Software

    Before Full Payment

    Until the project price is paid in full, all intellectual property rights in the deliverables, including source code, designs, and documentation, remain the exclusive property of WAPI Solutions LLC.

    On Full Payment

    On receipt of full payment, ownership of the custom deliverables transfers to you, including:

    • The complete source code
    • All project documentation
    • The intellectual property rights in the deliverables
    • The right to modify, distribute, and sublicense them

    Pre-Existing Components

    Pre-existing libraries, frameworks, or components owned by WAPI or third parties and incorporated into the deliverables remain subject to their original licenses and are not assigned. They are identified in the deliverables.

    Custom Software Warranty

    30-Day Defect Warranty

    For 30 days from final delivery we will correct, at no charge, defects that:

    • Arise in code we developed
    • Prevent the software from functioning as specified in the agreed scope
    • Are reproducible in the delivered environment

    Exclusions

    The warranty does not cover user error, modifications made by you or third parties, environments that differ from the agreed specification, or failures of third-party integrations outside our control.

    Extended Support

    Support and maintenance beyond the warranty period are available under a separate support agreement on monthly or annual terms.

    Part VII: Software Licensing

    Single User License

    Use by one individual on up to 2 devices owned by that individual.

    Corporate License

    Use within a single organization for the number of seats specified in the order.

    SaaS License

    Subscription access to cloud-hosted software with no local installation.

    Custom License

    Licensing terms tailored to specific enterprise requirements by written agreement.

    License Restrictions

    Unless we agree otherwise in writing, and except to the extent a restriction is unenforceable under applicable law, you may not:

    Reverse engineer: decompile, disassemble, or otherwise attempt to derive the source code of our software.
    Sublicense or rent: sublicense, rent, lease, or lend the software to any third party.
    Redistribute: share, publish, or distribute the software or any portion of its code.
    Build a competing product: use the software to develop a product or service that competes with it.
    Remove notices: remove or alter copyright notices, watermarks, or other proprietary legends.

    Ready-Made Products

    Delivered as a Service

    Ready-made products are provided as hosted services running on our infrastructure. You receive a right to use the product for the term of your plan.

    Source Code Not Included

    Ready-made products are not sold as software. Their source code is not delivered, licensed, or otherwise made available.

    Customization

    Custom modifications to ready-made products are available for an additional fee under a separate written agreement.

    Invoicing & Taxes

    Invoices

    An invoice is generated for each payment and sent to your registered email address. All invoices are also available in your account dashboard.

    Taxes

    Applicable taxes, such as VAT, GST, or sales tax, are calculated from your billing address and shown at checkout. You are responsible for providing an accurate billing address, and for any taxes your own jurisdiction requires you to self-assess on cross-border purchases.

    VAT / GST Numbers

    Business customers in eligible jurisdictions may provide a valid VAT or GST number so that business-to-business transactions can be treated under the reverse-charge or exemption rules their law provides.

    Late Payment Timeline

    Days 1-7: Reminders

    Payment reminders are sent by email. Services continue normally.

    Days 8-14: Suspension

    Affected services are suspended and account access is limited. We give notice of pending termination.

    Days 15-30: Final Notice

    A final notice is sent. We recommend exporting your data during this period.

    After Day 30: Termination

    The account may be terminated. Content and service data are deleted after the export window described in Section 39, subject to the retention obligations in our Privacy Policy. Outstanding balances may be referred to collections.

    You may not use the Services for any of the following:

    Illegal Content

    • Content that violates US or other applicable law
    • Child sexual abuse material; zero tolerance, reported to authorities
    • Terrorism-related content
    • Trafficking in drugs or other illegal goods

    Malicious Activity

    • Distributing malware
    • Spam or unsolicited bulk messaging
    • Phishing or social engineering
    • Botnets or command-and-control infrastructure

    IP Infringement

    • Copyright infringement
    • Trademark infringement
    • Distribution of pirated software
    • Sale of counterfeit goods

    System Abuse

    • Denial-of-service attacks or participation in them
    • Unauthorized access to systems or data
    • Resource abuse that harms other users
    • Circumventing security or usage controls

    Fraud

    • Identity theft
    • Financial fraud
    • Deceptive commercial practices
    • Pyramid or Ponzi schemes

    Abusive Conduct

    • Harassment or threats
    • Hate speech or discrimination
    • Violations of others' privacy
    • Defamation

    Enforcement

    Suspension

    We may suspend an account without prior notice where we reasonably believe a serious violation is occurring.

    Termination

    Repeated or severe violations result in permanent termination of the account without refund.

    Legal Remedies

    We reserve the right to pursue legal remedies for damage caused by violations of these Terms.

    Reporting to Authorities

    We report unlawful activity to the appropriate law enforcement agencies and cooperate with lawful investigations.

    Part XI: Warranties & Liability

    Warranty Disclaimer

    Services provided "as is"

    Except as expressly stated in these Terms, all Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation:

    • Implied warranties of merchantability
    • Fitness for a particular purpose
    • Non-infringement
    • Accuracy or completeness

    We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI Output will be accurate, complete, or fit for any particular use. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this Section may not apply to you.

    Limitation of Liability

    Liability Cap

    Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the amounts you paid to us for the Services in the 12 months preceding the event giving rise to the claim.

    Excluded Damages

    To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if we were advised of the possibility of such damages.

    Backups

    You are responsible for maintaining your own backups of your Content. We implement reasonable safeguards, but no system is immune to failure, and we are not liable for loss of data.

    What This Section Does Not Limit

    Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including, where such law so provides, liability for death or personal injury caused by negligence, for fraud, or for intent or gross negligence. Statutory consumer rights that cannot be waived remain unaffected.

    Indemnification

    Your Indemnity

    You will defend, indemnify, and hold harmless WAPI and its officers, employees, and agents from and against third-party claims, and the resulting damages, penalties, and reasonable costs, to the extent arising out of: (a) your Content; (b) your deployment of the Services on your websites and channels, including claims brought by your End Users and claims relating to Visitor Data you collect; (c) your breach of these Terms or of applicable law; or (d) your infringement of third-party rights.

    Procedure

    We will notify you promptly of any claim subject to this Section, allow you to control the defense with counsel reasonably acceptable to us, and cooperate at your expense. We may participate in the defense with our own counsel at our own cost. You may not settle a claim in a way that imposes obligations on us without our written consent.

    Consumers

    This Section applies to consumers only to the extent permitted by the law of their country of residence.

    Part XII: Termination

    39

    Termination by You

    Closing Your Account

    You may close your account and end this agreement at any time through your account settings or by writing to [email protected].

    Access Until Period End

    After closure, you retain access to paid services until the end of the current billing period. Prepaid periods are not refunded pro rata, except as provided in Section 13.

    Data Export & Deletion

    You have 7 days after termination to export your Content. After that window, your Content and service data, including Visitor Data we hold on your behalf, are permanently deleted from our active systems; billing, tax, and other records we must keep are retained for the periods described in our Privacy Policy.

    Termination by WAPI

    Breach of These Terms

    We may suspend or terminate your account for a breach of these Terms, including the acceptable use rules in Part X.

    Non-Payment

    Failure to pay for the Services, following the process in Section 32, may result in suspension and eventual termination.

    Unlawful Activity

    Unlawful activity results in immediate termination without notice and may be reported to law enforcement.

    Notice

    Except where immediate action is required, we give reasonable notice, typically 7 days, before terminating an account. The data export window in Section 39 applies after termination.

    Part XIII: Dispute Resolution

    41

    Governing Law & Your Local Rights

    Governing Law

    WAPI Solutions LLC is organized in the State of Wyoming, United States, and these Terms are governed by the laws of that state, without regard to its conflict of laws rules. This choice of law provides a single, predictable legal framework for a service offered worldwide; it does not take away protections you cannot waive under your own law.

    Mandatory Local Protections

    If you are a consumer, you additionally benefit from the mandatory provisions of the law of your country of residence, including its consumer protection and data protection rules. Where those provisions conflict with these Terms, they prevail for you.

    Consumer Courts

    If you are a consumer in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction that guarantees you access to your home courts, you may bring proceedings in the courts of your country of residence, and nothing in Section 43 prevents that.

    UN Sales Convention

    The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

    Informal Resolution First

    30-Day Resolution Period

    Before commencing arbitration or court proceedings, you agree to first send a written description of the dispute to [email protected]. The parties will attempt in good faith to resolve the dispute informally. If the dispute is not resolved within 30 days of your notice, either party may proceed under Section 43 or, where applicable, Section 41.

    43

    Binding Arbitration

    Agreement to Arbitrate

    Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that is not resolved under Section 42 shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules or, where applicable, its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

    Seat & Procedure

    The arbitration shall be conducted in English and take place in Cheyenne, Wyoming, or by video conference at the election of either party. Judgment on the award may be entered in any court of competent jurisdiction.

    Small Claims Option

    Either party may instead bring an individual claim in a small claims court of competent jurisdiction, if the claim qualifies for that court.

    Where Arbitration Cannot Be Imposed

    This Section applies to you only to the extent that pre-dispute arbitration agreements are enforceable against you under the law of your country of residence. If they are not, for example for consumers in the European Union, the European Economic Area, or the United Kingdom, disputes may instead be brought in the courts identified in Section 41.

    Individual Basis; Class Action Waiver

    Arbitration shall be conducted on an individual basis only. To the fullest extent permitted by law, you and WAPI each waive the right to participate in a class action, class arbitration, or representative proceeding.

    Part XIV: Final Provisions

    44

    Changes to These Terms

    30 Days' Notice of Material Changes

    We may amend these Terms from time to time. We give at least 30 days' notice of material changes by email or by prominent notice on our website before they take effect. Each revision is identified by the version number and date shown at the top of this page.

    Acceptance by Continued Use

    Your continued use of the Services after the effective date of amended Terms constitutes acceptance of the amendments. If you do not agree to an amendment, you must stop using the Services and may close your account under Section 39 before the amendment takes effect.

    45

    Severability

    If any provision of these Terms is held unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, modified to the minimum extent necessary, or, if modification is not possible, severed. The remaining provisions remain in full force and effect.

    Assignment

    By You

    You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. Any attempted assignment without consent is void.

    By WAPI

    We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, with notice to you.

    General Provisions

    Entire Agreement

    These Terms, together with the Privacy Policy and any order, scope document, or other written agreement that expressly references them, constitute the entire agreement between you and WAPI regarding the Services and supersede all prior discussions and understandings on the same subject.

    No Waiver

    A failure or delay by either party in exercising a right under these Terms does not waive that right. A waiver is effective only if made in writing.

    Force Majeure

    Neither party is liable for a failure or delay in performance, other than payment obligations, caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, governmental action, internet or utility failures, and failures of upstream providers.

    Notices

    Legal notices to WAPI must be sent to [email protected] or to our registered address in Section 48. We send notices to the email address on your account.

    Survival

    Sections that by their nature should survive termination, including payment obligations, intellectual property provisions, indemnities, warranty disclaimers, limitations of liability, and dispute resolution, survive termination of these Terms.
